Case Study 01 · Family Business Counsel

Preparing for Second-Generation Governance in a Construction Company

Challenge

A Selangor-based construction company was approaching the transition of day-to-day leadership from the founder to two of his children. There was no agreed governance structure, and sibling roles were informally understood rather than documented. Disagreements were beginning to surface in front of staff.

Our Approach

Over a five-month engagement, we facilitated a series of family conversations separate from business meetings, reviewed existing ownership and decision-making structures, and worked with the family to draft a Family Business Charter outlining roles, decision rights, and a process for managing disagreements.

Outcome

The family completed the transition with documented governance arrangements in place. Within six months of the engagement closing, both children had assumed defined operational responsibilities. The founder described the engagement as "the most useful thing we did before I stepped back."

Case Study 02 · Corporate Governance Review

Board Structure Review for a Penang Manufacturing Firm

Challenge

A mid-sized manufacturing company was preparing for a significant external investment and recognised that their board governance practices, which had evolved organically over twenty years, were unlikely to meet investor expectations or withstand scrutiny.

Our Approach

A ten-week governance review covering board composition and independence, terms of reference for the board and its committees, information flows between management and directors, and compliance with the Companies Act 2016. We conducted structured interviews with all board members and senior management.

Outcome

The company implemented twenty-three of our twenty-seven recommendations ahead of the investment discussion. The investor's due diligence process noted the governance documentation as a positive indicator. The company has since retained Lim Pei Yee on an advisory basis.

Case Study 03 · Generational Transition Advisory

Supporting a Leadership Handover in a Johor Trading Business

Challenge

The principal of a long-established trading business was in his early seventies and wanted to hand over leadership to his son. The son had been involved in the business for twelve years but had not formally assumed any governance or leadership role. The timing and structure of the transition was unclear to both parties.

Our Approach

A four-month engagement focused on mapping the current state of leadership responsibilities, facilitating conversations between father and son about expectations and concerns, and developing a written transition plan with a phased handover timeline and governance provisions.

Outcome

The son formally assumed the Managing Director role six months after the engagement closed, as planned. The phased handover allowed the principal to remain involved in a defined advisory capacity without creating ambiguity about decision-making authority. Both described the process as having helped them avoid significant conflict.
